Legal framework and participation rules for SPG

1. Introduction

These Terms and Conditions (“Terms”) govern the relationship between Smart People Global Multi-Business Limited (SPG), a company duly registered with the Corporate Affairs Commission (CAC) of Nigeria (RC 1941520), and all members, distributors, partners, customers, and users of its services. By registering, purchasing products, or participating in SPG’s business opportunities, you agree to be legally bound by these Terms.

2. Definitions

  • Company / SPG: Smart People Global Multi-Business Limited
  • Member / Distributor: Any individual registered under SPG
  • Products: Goods or services offered by SPG
  • Compensation Plan: The approved income structure of SPG
  • Code of Conduct: The ethical and behavioral rules issued by SPG

3. Eligibility

  • Participation is open to individuals 18 years and above.
  • Members must provide accurate and truthful personal information.
  • SPG reserves the right to refuse or terminate registration at its discretion.

4. Nature of the Business

  • SPG operates a legal multi-level marketing (MLM) and multi-business model.
  • Earnings are based on product sales, performance, and team growth.
  • SPG does not operate a Ponzi or investment scheme.
  • No fixed or guaranteed income is promised.

5. Registration & Membership

  • Membership is personal and non-transferable.
  • Members are responsible for maintaining the confidentiality of their account.
  • Multiple accounts under one person without approval are prohibited.

6. Products & Services

  • All products must be marketed honestly and ethically.
  • Members must not make false medical, financial, or performance claims.
  • Products must not be altered, counterfeited, or resold illegally.

7. Income Representation

  • Income varies based on effort, skills, and market conditions.
  • No member is authorized to promise guaranteed earnings.
  • Any misleading income claims may lead to suspension or termination.

8. Fees, Payments & Refunds

  • All registration fees, product prices, and charges shall be communicated clearly.
  • Refunds, if applicable, are subject to SPG’s official refund policy.
  • Bonuses and commissions are paid according to the Compensation Plan.

9. Code of Conduct (Binding)

  • All members must comply with SPG’s Code of Conduct, which forms an integral part of these Terms.
  • Violation of the Code of Conduct constitutes a breach of these Terms.

10. Use of Company Name & Branding

  • The SPG name, logo, and materials may only be used with authorization.
  • Members must not impersonate company officials or misrepresent authority.
  • Unauthorized use may result in legal action.

11. Confidentiality & Data Protection

  • Members must protect company information and customer data.
  • SPG complies with applicable data protection laws.
  • Unauthorized disclosure of confidential information is prohibited.

12. Prohibited Conduct

  • Engage in fraud, deception, or illegal activities
  • Harass, intimidate, or discriminate against others
  • Defame SPG or its leadership
  • Use SPG for money laundering or criminal acts

13. Suspension & Termination

  • SPG reserves the right to suspend or terminate accounts without notice for misconduct.
  • Withhold bonuses earned through violations.
  • Take legal action where necessary.

14. Limitation of Liability

  • SPG shall not be liable for loss of income or business opportunity.
  • Indirect or consequential damages.
  • Actions of independent members or distributors.

Participation is at the member’s own risk.

15. Indemnification

Members agree to indemnify and hold SPG harmless against any loss, claim, or damage arising from their actions, misrepresentations, or violations of these Terms.

16. Amendments

SPG reserves the right to modify these Terms at any time. Continued participation after changes constitutes acceptance.

17. Governing Law & Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria.

18. Dispute Resolution

  • First, through internal resolution.
  • If unresolved, through arbitration or a competent Nigerian court.

19. Acceptance

  • Have read and understood these Terms & Conditions.
  • Agree to comply fully.
  • Accept the Code of Conduct as binding.
